Fixture Financing Statement

A Fixture Financing Statement, sometimes known as a Finance Statement Mortgage (FSM), covers collateral that is personal property affixed to real estate. The most common FSMs seen in Clay County real estate records cover collateral such as grain bins, furnaces and fixtures for a commercial building.

Uniform Commercial Code (UCC)-1 Form
The national financing statement UCC-1 form is considered the standard form to perfect a lien on real estate if box 6 is checked. Any other form is acceptable if signed and includes a complete acknowledgment.

You can download national financing statement forms from the Minnesota Secretary of State website. A UCC-1 to be recorded in real estate cannot be filed with the Secretary of State.

UCC-3 Form
A Fixture Financing Statement Amendment (UCC-3) is a document used for many reasons such as:
  • Amend collateral
  • Amend secured party or debtor names
  • Continuation
  • Full or partial assignment
  • Terminating a Fixture Financing Statement
Form Requirements
A Fixture Financing Statement Amendment (UCC-3) must include the following:
When terminating or continuing it is helpful to include the debtor name on line 10. (Optional filer reference data).

You can download the UCC-3 form from the Minnesota Secretary of State website. A UCC-3 to be recorded in real estate cannot be filed with the Secretary of State.

UCCS Are No Longer Filed in Clay County
The Clay County Recorder's Office is no longer a satellite office for the Minnesota Secretary of State. Therefore, the Clay County Recorder's Office no longer files or searches UCCs. However, we continue to record UCCs attached to real estate, often know as Fixture FSM. We also continue to record tax liens and provide tax lien searches.
